Le contrat est considéré comme résolu à la réception par le professionnel de l’écrit l’informant de cette résolution, à moins que le professionnel ne se soit exécuté entre-temps.
Néanmoins, l’acheteur peut immédiatement résoudre le contrat lorsque le professionnel refuse de fournir le service ou lorsqu’il n’exécute pas son obligation de fourniture du service à la date prévue, si cette date ou ce délai constitue pour l’acheteur une condition essentielle du contrat.

Nevertheless, the purchaser may immediately terminate the contract where the professional refuses to provide the service or where he fails to perform his obligation to provide the service on the date stipulated, if this date or time limit constitutes an essential condition of the contract for the purchaser.
This essential condition results from the circumstances surrounding the conclusion of the contract or from an express request made by the consumer before the conclusion of the contract.
Except in cases of force majeure, the deposit paid at the time of order is automatically acquired and cannot give rise to any reimbursement. Le prestataire s’engage à informer l’acheteur de ces retards et/ou problèmes dès qu’ils surviendront afin de pouvoir en évaluer les conséquences avec lui.
Des factures seront émises correspondant aux prestations fournies et aux débours engagés par provision et au fur et à mesure de leur réalisation.

Article 5 – Performance of service and termination of contract Except in the case of special conditions specific to the sale, performance of the service will take place within 2 working days of receipt by the service provider of a quotation duly validated by the purchaser.

Article 8 – Prices
Calculation
Unless otherwise agreed, the price of services is based on the number and experience of the personnel required, and the level of skill and responsibility required; hourly rates are revised periodically.
Where applicable, travel, subsistence and accommodation expenses incurred in the performance of services will also be invoiced.
VAT at the prevailing rate will be added, where applicable, to the fees and disbursements.
Delays or other unforeseen problems beyond the control of the service provider may result in additional fees which may be billed separately.
The service provider undertakes to inform the purchaser of any such delays and/or problems as soon as they occur, so that the consequences can be assessed with the purchaser.
Invoices will be issued for services rendered and disbursements incurred on a provisional basis, as and when they occur.
Payment of invoices is due within 15 days of completion of the service.
Late payment penalties
In accordance with the law, any delay in payment obliges the service provider to charge late payment penalties.

- designate a correspondent with decision-making authority;
- to ensure that key contacts and the correspondent are available throughout the performance of services;
- to inform the service provider directly of any difficulties that may arise in the performance of the services.
Article 13 – Information and advertisingThe buyer acknowledges and accepts:
- that the parties may correspond or transfer documents by electronic mail over the Internet, unless the other party expressly requests otherwise;
- neither party has any control over the capability, reliability, access or security of such e-mail;

Article 14 – Intellectual property
In the event that one of the service provider’s recommendations or the use of elements delivered following one of its recommendations involves the use of goods, models, drawings, photographs, etc. which are subject to intellectual property rights belonging to third parties, the service provider will inform the purchaser of the existence of these rights and the consequences of their use.
It will then be up to the purchaser, under his sole responsibility, to take all measures permitting the use of such rights, in particular by negotiating on his own behalf the rights of use under conditions such that the service provider is in a position to take advantage of them for the needs of the services.
The service provider may use or develop software, including spreadsheets, documents, databases and other IT tools for its own purposes.
In certain cases, these aids may be made available to the purchaser on request.
Insofar as these tools have been developed specifically for the needs of the service provider, and without regard to the purchaser’s own needs, they are made available to the purchaser for the duration of the contract, as is and without warranty of any kind, for the sole purpose of use; they may not be distributed, shared or communicated to third parties, either in whole or in part.
This temporary availability shall not entail any transfer of rights or warranties of any kind, either to the purchaser or to a third party.
The provider reserves all right, title and interest in :
- the original elements contained in the works, documents, memos, consultations, opinions, conclusions or other procedural documents, etc. produced within the framework of the services, including, but not limited to, all copyrights, trademarks and any other intellectual property rights relating thereto;
- all methods, processes, techniques, developments and know-how, whether or not incorporated into the services, or which the service provider may develop or provide in the context of the services.
The purchaser may, without geographical limitation, free of charge and irrevocably, use internally and for the duration of copyright protection, the elements designed by the service provider and integrated into its work.
